This User Agreement (“Agreement”) is made between Matt Williford Photography (“Provider”) and you (“User”). By accessing, downloading, or using any stock images (“Images”) provided by Matt Williford Photography, you agree to comply with the terms and conditions set forth in this Agreement.
 
1. License Grant
 
Matt Williford Photography grants the User a limited, non-exclusive, non-transferable license to use the Images for personal or commercial purposes, subject to the terms of this Agreement. This license does not transfer ownership of the Images to the User.
 
2. Permitted Uses
 
The User may use the Images in the following ways:
 
• In digital or print media, including websites, blogs, social media, advertisements, and marketing materials.
• For editorial purposes, including news articles, publications, and educational content.
• In personal projects or presentations.
 
3. Prohibited Uses
 
The User may NOT:
 
• Resell, redistribute, or share the Images in any form, including as part of a stock image library or collection.
• Use the Images in any illegal, defamatory, obscene, or offensive manner.
• Modify or alter the Images in a way that misrepresents the original content or authorship.
• Use the Images in a way that suggests endorsement by the subject or creator of the Images.
• Use the Images as the primary component of a trademark, logo, or brand.
 
4. Attribution
 
When required, the User must provide proper attribution to Matt Williford Photography or the creator of the Images. Specific attribution guidelines will be provided with the Images if applicable.
 
5. Intellectual Property Rights
 
All rights, titles, and interests in and to the Images remain with Matt Williford Photography or the original creator. This Agreement does not grant the User any ownership rights to the Images.
 
6. Indemnification
 
The User agrees to indemnify and hold harmless Matt Williford Photography and its affiliates from any claims, liabilities, damages, or expenses arising from the User’s use of the Images.
 
7. Termination
 
Matt Williford Photography may terminate this Agreement at any time if the User breaches any of its terms. Upon termination, the User must cease all use of the Images and delete or destroy any copies in the User’s possession.
 
8. Disclaimer of Warranties
 
The Images are provided “as is,” without warranty of any kind. Matt Williford Photography does not guarantee that the Images will be free from errors or suitable for the User’s specific needs.
 
9. Limitation of Liability
 
Matt Williford Photography will not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Images.
 
10. Governing Law
 
This Agreement shall be governed by and construed in accordance with the laws of [New York].
 
11. Amendments
 
Matt Williford Photography reserves the right to amend this Agreement at any time. Continued use of the Images by the User constitutes acceptance of any changes.
 
By using the Images, the User acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
